THE PROMOTION
The Heart & Stroke Foundation (the “Sponsor”) is pleased to introduce the Big Bike Big Heart Challenge (the “Promotion”) to encourage support for its “Big Bike” charity ride events by teams across Canada. The Promotion commences 12:01 AM EST on March 12, 2012 and ends 11:59 PM EST on September 29, 2012 (the “Promotion Period”). The Promotion will be offered in seven provinces (British Columbia, Alberta, Saskatchewan, Ontario, Quebec, Nova Scotia and Newfoundland) (the “Applicable Provinces”), to generate fund-raising support and to provide defibrillators to communities and CPR Anytime kits to teams in each Applicable Province. No purchase is required. Teams enter the Promotion online, at www.bigbikecontest.ca, (the “Promotion Site”).
TEAMS AND PROMOTION POINTS
Teams must be represented by a “Team Captain” who will enter the Promotion on behalf of the Team. Each Team will have the opportunity to ride the Sponsor’s “Big Bike” in a place and on a date during the Promotion Period to be determined by the Sponsor. Each Team also has the opportunity to do fund-raising and solicit online support for their Team’s entry. Team members may write and post stories and submissions that describe their reasons for supporting heart health and the Promotion. Team members can then solicit support for those submissions and their Team’s entry in the Promotion.
NO PURCHASE REQUIRED. Promotion Points can be earned by Teams in two ways:
(1) by receiving online votes from their supporters and others who read the Team’s submissions (each vote received equals one [1] Voting Point for the Team); and
(2) by generating fund-raising support for the Promotion, at two levels: (a) for every $10.00 raised online, each Team will earn one [1] Regular Point, and (b) for every $500.00 raised online, each Team will be awarded ten [10] Bonus Points. Bonus points are cumulative and in addition to Regular Points earned.
The Team that earns the greatest support, as reflected in their total number of Promotion Points, will be selected as the Winning Team in each Applicable Province.
The Sponsor will collect personal information about the Team Captain and each Team member for the purpose of administering and publicizing this Promotion and related events. DEFIBRILLATORS AND TRAINING
One (1) Automated External Defibrillator (“AED”) will be installed in each Applicable Province, in a public space in the community represented by that Applicable Province’s Winning Team. The specific building placement of the AED (e.g. a school, hockey rink, or community centre) will be determined by the Sponsor, based on priority need, in consultation with emergency response and municipal authorities in that community. Each AED has an approximate retail value of $4,000.
In addition, CPR training will be administered to each member of the Winning Team in each Applicable Province. The training will be through the CPR Anytime™ Family & Friends™ Personal Learning Program, offered by video on CD-ROM and including a training dummy. The training can be done as a Team or on an individual basis. Shipments of the individual Team members’ training packages will be co-ordinated by the Sponsor and the Team Captains. Each individual training package has an approximate retail value of $35.
The AED placement and CPR training must be accepted as awarded and may not be transferred or exchanged. No substitution for cash or other goods or services is permitted.
PROMOTION REQUIREMENTS AND LIMITATIONS
The administration of the Promotion will be via the Promotion Site and e-mail. Teams will be contacted via their Team Captain, using the email address provided via the registration form on the Promotion Site.
The Odds of being selected as a Winning Team depend on the number of eligible Teams in each Team’s Applicable Province, and the levels of support generated by each Team.
The Winning Teams in each Applicable Province will be identified by adding up the Promotion Points of all eligible Teams (the “Selection”). The Selection will take place on October 12, 2012 at approximately 12:00pm EST at the Sponsor’s offices, 2300 Yonge Street, Suite 1300, Toronto, Ontario, Canada.
If a Winning Team’s Team Captain cannot be reached by e-mail for one (1) week after the Selection, the Team with next-most cumulative points during the Promotion Period in the same Applicable Province will be contacted to be declared as the Winning Team.

SKILL TESTING QUESTION AND RELEASE
Before being declared a Winning Team, each Team Captain must correctly answer, unaided, a mathematical skill-testing question, to be administered by telephone.
On behalf of the Team, each Team Captain must also complete, sign and return by the required date, a Release confirming compliance with these Promotion Rules, and the Team’s acceptance of the AED and training as described herein. The Release will also grant to the Sponsor the right to identify and depict each Team member on the Promotion Site. By entering the Promotion, each Team member is deemed to consent to the Sponsor's use of his/her name, city and province of residence, text of submission (if any), public member profile information, and photograph or other likeness, without further compensation or notice, for publicity, advertising or informational purposes in any media or format (including the Internet) in connection with the Promotion or future similar events.
The placement of the AED and CPR training will be forfeited if a selected Team Captain cannot be reached within the time specified above; is not in compliance with these Promotion Rules; incorrectly answers the skill-testing question; or fails to return the Release (and any other documents, as applicable) by the date set out in the documents. In such circumstances, the Sponsor will select the Team with the next-highest number of Promotion Points as the Winning Team in that Applicable Province, and the process described herein will apply to that Winning Team.
In the event the selected Team Captain is under the age of majority in his/her province, his/her parent or legal guardian must execute the Release and will accept the placement of the AED and training, on behalf of the minor Team Captain and the Team.
GENERAL
The decisions of the Sponsor are final and participants agree to abide by these Promotion Rules and all instructions and decisions of the Sponsor and its agents. In the event of any dispute regarding the interpretation of these Promotion Rules, the decision or interpretation of the Sponsor shall prevail.
Any entry that is, incomplete, altered, or contains false information is invalid. The Sponsor is not responsible for lost, stolen, delayed, damaged or misdirected entries. The Sponsor is not responsible for any errors or omissions with respect to the administration of this Promotion.
None of the Promotion Entities (defined below) accepts any responsibility for loss, damage or claims caused by the Promotion, the AED placement or training. By entering, all Team members release, indemnify, and hold harmless the Sponsor, its affiliated and related companies, agents, the AED and training suppliers, retail partners and the Sponsor's advertising agencies, promotional agencies, charity partners, and all of their respective directors, officers, shareholders, employees, agents, successors and assigns (collectively, the "Promotion Entities") from any and all liability for any injuries, loss or damage of any kind arising from or in connection with the Promotion, the AED placement or training.
For greater certainty, the Promotion Entities will not be liable for: a) any incorrect or inaccurate information, whether caused by Promotion Site users or by any equipment or programming associated with or utilized in the Promotion or by any technical or human error which may occur in the processing of entries; b) any error, omission, interruption, deletion, defect or delay in operation of the Promotion Site or any transmission in connection with the Promotion; c) any communications line failure, theft, destruction or unauthorized access to, or alteration of, entries; d) any problems with, or technical malfunction of, any telephone network or lines, computer online systems, servers or providers, computer equipment, software, or failure of email which may occur for any reason whatsoever, including technical problems or traffic congestion on the Internet or at any website or combination thereof; or e) any injury or damage to participants' or to any other person's computer related to or resulting from participating or downloading materials in this Promotion.
The Sponsor may at any time, at its sole discretion and without notice or any liability, terminate, modify or suspend the Promotion in whole or in part, subject only to the approval of any applicable regulatory authority, if fraud, technical failures including any network server or hardware failure, viruses, bugs, errors in programming, or communications or any other errors or other causes beyond the control of the Sponsor corrupt the administration, integrity or security of the Promotion or if any other factor interferes with the conduct of this Promotion as contemplated by these Promotion Rules. Without restricting the generality of the foregoing, and subject to the permission of the Régie (see below) for Quebec residents, in the event of early termination of the Promotion, a notice will be posted on the Promotion Site.
In the event of a dispute as to the identity of the Team Captain who registered on behalf of any Team, the Team Captain will be deemed to be the authorized account holder of the email address submitted at the time of registration. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Participants may be required to provide the Sponsor with proof that he/she is the authorized account holder of the email address associated with his/her entry.
The Sponsor reserves the right at its sole discretion to disqualify any individual from the Promotion, and to ban that individual from any future promotion of the Sponsor, if the Sponsor believes such individual to be tampering with the registration process or the operation of the Promotion Site; to be acting in violation of these Promotion Rules or in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass the Sponsor, the Promotion Entities, other participants or any other person. THE SPONSOR RESERVES THE RIGHT TO SEEK ALL AVAILABLE LEGAL REMEDIES IN RESPECT OF ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER PERSON TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION.
This Promotion is subject to all applicable laws and shall be governed by and construed in accordance with the laws of the Province of Ontario. Except for residents of Quebec, any dispute or claim made by a party shall be filed in the judicial district of Toronto, Ontario to the exclusion of any other jurisdiction. With respect to Quebec residents, any litigation respecting the conduct or organization of the Promotion may be submitted to the Régie des alcools, des courses, et des jeux (the “Regie”) for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.
